These Terms of Service (“Terms”) apply to all services provided by KANAI&CO Inc. (“KANAI&CO,” “we,” “us”). By purchasing, booking, or using any of our services, you agree to these Terms.
1. Services
We provide strategic advisory and consulting services, including (but not limited to): Japan market entry and post-entry growth strategy, go-to-market planning, partnerships, positioning, product/market fit guidance, and funding strategy considerations (e.g., venture capital, Japan Finance Corporation (JFC) loans, grants, and hybrid approaches).
The exact scope, format, deliverables, timeline, and fees are stated on the relevant product page, checkout page, or written agreement.
2. Individual Agreements
If you and KANAI&CO enter into a separate written agreement (e.g., engagement letter, statement of work) (“Individual Agreement”), the Individual Agreement will prevail over these Terms to the extent of any conflict.
3. Remote Delivery, Scheduling, and Preparation
Services are typically delivered remotely (Zoom or an equivalent platform). Scheduling instructions will be provided after payment.
To make the session practical and efficient, you may be asked to share basic context in advance (e.g., website URL, pitch deck, key questions). If you do not provide requested information, the specificity of guidance may be limited.
4. Fees and Payment
Fees are due at the time of purchase unless otherwise stated. Payments are processed through our designated payment provider(s) (e.g., Stripe) or bank transfer where available. Any taxes or transaction fees are shown at checkout or invoice.
5. Rescheduling, Cancellations, and Refunds (Services)
Unless otherwise stated on the product page or checkout page:
- Rescheduling: Free rescheduling is available up to 24 hours before the session start time.
- Cancellations / No-shows: Cancellations or no-shows within 24 hours of the session start time are non-refundable.
- Provider cancellation: If we cannot deliver a session due to our circumstances, we will offer rescheduling or a refund, as appropriate.
6. No Guarantee of Results
Our services provide professional judgment, strategic guidance, and information. We do not guarantee any specific outcome (including funding approval, grant acceptance, fundraising success, revenue growth, or business performance). Outcomes depend on multiple factors beyond our control.
7. Confidentiality
Both parties agree to keep non-public information disclosed during the engagement confidential and not disclose it to third parties without prior written consent, except where disclosure is required by law or the information is already public through no fault of the receiving party.
8. Intellectual Property and Use of Materials
All materials, frameworks, memos, and documents created or provided by KANAI&CO remain our intellectual property unless otherwise agreed in writing. You may use them for your internal business purposes only. You may not reproduce, distribute, publish, resell, or create derivative works without prior written permission.
9. Prohibited Conduct
You agree not to:
- Provide false or misleading information
- Infringe the rights of KANAI&CO or any third party
- Record sessions (audio/video) without prior written consent
- Use our services or materials for unlawful purposes
10. Limitation of Liability
To the maximum extent permitted by law, KANAI&CO’s liability arising from the services is limited to direct damages only and shall not exceed the amount you paid for the applicable service. KANAI&CO is not liable for indirect, incidental, consequential, or special damages.
11. Privacy
We process personal data in accordance with our Privacy Policy.
12. Updates to These Terms
We may update these Terms as our services evolve. Updated Terms become effective when posted on our website.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute arising out of or in connection with these Terms or our services shall be submitted to the exclusive jurisdiction of the court having jurisdiction over our principal place of business in Japan.
